1. Scope & Eligibility
This agreement governs use of BB News International's institutional products by government agencies, enterprises, newsrooms, and other organizational customers ("Customer"). It supplements, and does not replace, any signed Master Services Agreement or order form between Customer and BB News International Corporation.
2. Access Credentials & API Use
Institutional access is provisioned via role-scoped accounts and, where applicable, API keys. Customer is responsible for safeguarding credentials issued to it and for all activity under its account. Rate limits and idempotency protections currently operate on a single-instance, in-process basis; Customer should not assume horizontal scaling guarantees until this is upgraded (tracked internally as a Redis migration).
3. Fees & Billing
Fees, invoicing terms, and payment processing are governed by Customer's signed order form. As of this draft, no payment processor is connected to the platform — billing-gated institutional tiers return an explicit "not yet available" response rather than provisioning access. Do not represent paid institutional tiers as purchasable until this is resolved.
4. Available Capabilities
The following capabilities are explicitly not yet live as of this draft and are marked as honest 501 responses in the API rather than silently failing: scenario querying, entity intelligence lookups, multimedia stream ingestion, real-time and Watchtower alerting, and WebSocket alert delivery. Institutional marketing and sales materials must not claim these as available until backend implementation is complete and verified.
5. Data Handling
Customer data submitted through institutional features (watchlists, GDPR/data-subject requests, audit records) is persisted in a durable Postgres-backed store. [Placeholder — data residency, retention schedules, and subprocessor disclosures require input from Customer's specific contractual requirements and counsel review.]
6. Confidentiality
Each party agrees to protect the other's confidential information with at least the same degree of care it uses for its own confidential information, and not less than reasonable care.
7. Warranties & Disclaimers
Except as expressly stated in a signed order form, the Service is provided without warranties of any kind, express or implied.
8. Limitation of Liability
[Placeholder — liability caps and indemnification provisions for institutional/enterprise agreements require counsel input and should be tied to contract value, not a generic cap.]
9. Term & Termination
This agreement remains in effect for the term specified in Customer's order form, and may be terminated as set out there or, absent an order form, by either party with 30 days' written notice.
