Agreement

BB NEWS INTERNATIONAL hereby agrees to provide the SUBSCRIBER the following services (“Services”)

• News Service in English.
• BB NEWS INTERNATIONAL shall provide 4 (four) logins to the SUBSCRIBER for the Term of this Agreement.
• Subscriber shall not resell or use or permit the use of the service for any commercial purpose not authorized by this agreement.
• The subscriber will give credit to the BB NEWS INTERNATIONAL whenever and wherever it uses the content by specifically mentioning “BB NEWS INTERNATIONAL” in the beginning or at the end of the stories/content in its unedited version.

The Parties agree that BB NEWS INTERNATIONAL shall provide the Services to the SUBSCRIBER for its Media outlet. The Parties agree that going forward if the SUBSCRIBER requires the Services for any other Newspaper/website/magazine etc.. of the SUBSCRIBER or its affiliates. BB NEWS INTERNATIONAL shall provide the same at the prices on mutual consent agreed by both parties in writing.

BB NEWS INTERNATIONAL grants the SUBSCRIBER, a non-exclusive license to use of news service in English and also the right to edit and modify the Services. The SUBSCRIBER will have the right to select and edit the information/content received from BB NEWS INTERNATIONAL however it is agreed the SUBSCRIBER shall ensure that the content, meaning and tone of the material received are not altered. In case of any such distortion, the SUBSCRIBER shall be liable for all the consequences.

BB NEWS INTERNATIONAL shall provide the Services in a professional manner and which shall be of the quality and in accordance with acceptable industry norms as may be prevalent from time to time. BB NEWS INTERNATIONAL represents that it is duly authorized to enter into this Agreement and to give effect to the terms of this agreement. BB NEWS INTERNATIONAL assures the SUBSCRIBER that the content/ information shall not be in violation of any intellectual property rights of any third party rights/ contract or any law, statutes, governmental orders, etc.

BB NEWS INTERNATIONAL represents and warrants that it owns or has obtained the valid copyrights for all the Services provided pursuant to this Agreement.

BB NEWS INTERNATIONAL shall provide necessary support and assistance during the term of this Agreement to enable the Subscriber to utilize the Service.

If the Subscriber withholds any amount towards tax deducted at source form the monthly subscription payable to the BB NEWS INTERNATIONAL as aforesaid, it shall be the responsibility of the subscriber to issue the necessary certificate to the BB NEWS INTERNATIONAL in accordance with the Provisions of the applicable tax laws.

In the event of any dispute of difference out of or in respect this Agreement, the Parties shall mutually discuss and resolve such difference, failing either Party to this Agreement may refer the dispute to the courts at Delhi which shall have jurisdiction over any dispute in this regard. The agreement shall be governed by the laws of India.

BB NEWS INTERNATIONAL shall at all times, indemnify and hold harmless the SUBSCRIBER against all claims, damages, actions, proceedings, costs, charges and expenses to which the SUBSCRIBER may become subject to arising out of any news item or the content issued by BB NEWS INTERNATIONAL and used by the SUBSCRIBER in India However, the liability arise out of any editing or other changes made in a news item by the SUBSCRIBER. BB NEWS INTERNATIONAL shall have no responsibility whatsoever and the SUBSCRIBER shall hold BB NEWS INTERNATIONAL harmless against any such claim.
